Terms of Service

These Terms of Service ("Terms") govern your access to and use of Hey Oana! and the services available at heyoana.com (the "Service"), operated by the Hey Oana! team ("we", "us", or "our"). By creating an account you agree to be bound by these Terms.

1. The Service

Hey Oana! provides a managed platform for running personal AI assistant agents accessible via messaging platforms including WhatsApp, Telegram, Discord, and Slack. The Service includes account management, agent provisioning, API key management, billing, and the agent dashboard console.

AI responses are generated by large language models operated by third-party providers (such as Anthropic, OpenAI, or Google) chosen by you. We are not responsible for the content of AI-generated responses.

2. Eligibility

You must be at least 16 years old to use the Service. By creating an account you represent that you meet this requirement and that all information you provide is accurate.

3. Your Account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@heyoana.com if you suspect unauthorised access.

Each account is for a single individual user. You may not share your account or transfer it to another person.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Generate, distribute, or store illegal content, including CSAM
• Harass, threaten, or harm any person
• Attempt to circumvent usage quotas or rate limits through multiple accounts or automated sign-ups
• Reverse-engineer, decompile, or otherwise attempt to extract source code from the Service
• Probe, scan, or test the vulnerability of any system or network associated with the Service
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to build a competing product or service
• Resell or sublicense access to the Service without our prior written consent

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

5. Plans and Billing

The Service is offered on a subscription basis under Free, Standard, Pro, and Business plans, with pricing as shown at heyoana.com/pricing. Plans are billed monthly or annually through Lemon Squeezy, our payment processor. By subscribing you authorise Lemon Squeezy to charge your payment method on a recurring basis.

• Free plan — subject to daily message limits and managed-model usage caps; may be time-limited at our discretion.
• Cancellation — you may cancel at any time from your account settings. Access continues until the end of the current billing period; no refunds are issued for unused time unless required by law.
• Downgrades — if your agent count or feature usage exceeds the limits of your downgraded plan, agent access may be suspended until you comply with the new plan's limits.
• Failed payments — we will retry failed payments per Lemon Squeezy's retry schedule. If a payment remains unpaid, your account will be downgraded to the Free plan.
• Price changes — we will give at least 30 days' notice of any price change by email.

6. Bring Your Own Keys (BYOK)

Pro and Business users may supply their own API keys for AI providers. By adding a key you confirm you have the right to use it and that your use complies with the relevant provider's terms. We encrypt your keys at rest using AES-GCM and never disclose them to third parties except the provider you have configured.

You are responsible for any costs incurred on your API keys as a result of using the Service. We do not set or control rate limits imposed by your provider.

7. Intellectual Property

Your content. You retain ownership of any content you input to the Service. You grant us a limited, non-exclusive licence to process and transmit your content solely to provide the Service.

AI-generated output. AI-generated responses may not be protectable by copyright in some jurisdictions. You are responsible for reviewing and verifying any AI-generated content before relying on it.

Our IP. All other intellectual property in the Service — including the console, branding, and infrastructure — belongs to us. Nothing in these Terms transfers any IP rights to you.

8. AI Limitations and Disclaimer

AI models can produce inaccurate, incomplete, or inappropriate content. The Service is provided as a productivity tool. Do not rely on AI-generated output for legal, medical, financial, or safety-critical decisions without independent verification.

We do not review individual conversations between you and your AI agent. You are responsible for how you use the AI's output.

9. Availability

We aim for high availability but do not guarantee uninterrupted service. Maintenance windows, provider outages, and force-majeure events may cause downtime. We are not liable for losses caused by unavailability.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT IT WILL BE ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

You may close your account at any time from your account settings. We may suspend or terminate your access for breach of these Terms, non-payment, or any reason with reasonable notice. On termination, your agent and its data will be deprovisioned in accordance with our data retention policy.

15. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms here and update the effective date. For material changes we will notify you by email at least 14 days before the change takes effect. Continued use of the Service after that date constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of Israel, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the courts of Tel Aviv, Israel, unless mandatory consumer-protection law in your country requires otherwise.
